Sweepstakes. Administrator will conduct and administer the "GDL's Maeser Master Service Prehistoric Furnace Sweepstakes" (the "Promotion") beginning October 18th, 2016, and ending November 8th, 2016 in compliance with the Official Rules. The Promotion will be open to legal U.S. Residents of the following counties in Kentucky: Jefferson, Oldham, Bullitt, Shelby and Spencer who own their own home with gas service available, are 21 years or older at the time of entry. One Grand Prize Winner will be selected based on the oldest age listed for their home heating system from all eligible entries received. The Grand Prize Winner will receive a new Bryant Legacy Series (Model 912) natural gas forced air furnace, labor for installation and components needed to install the unit valued up to $3,000. Any additional costs such as electrical updates, costs of duct system modifications (if necessary), any hazardous material removal and abatement (e.g. asbestos), and any improvements needed to bring the installation in compliance with existing building, mechanical or electrical codes are not included. In addition, all entrants will receive two (2) coupons – one for $300 off a replacement furnace or heat pump or central air conditioning unit and another for up to $1,250 off a new Furnace and AC System or Heat Pump System. There will also be ten (10) Runner-Up Prize packages consisting of a tune-up, a carbon monoxide detector and a programmable thermostat (ARV: $250).

Administrator's Obligations. Administrator will be responsible for executing and administering the Promotion and compliance with all laws, rules and regulations applicable to the Promotion. Administration includes, but is not limited to, drafting the Official Rules that include the terms provided by Sponsor attached hereto as Exhibit A, collecting entries, selecting and notifying the Winner. Administrator represents and warrants that it is authorized and has the power to enter into and fully perform this Agreement.

Sponsor's Obligations. Sponsor will be responsible for providing (1) the coupons listed above to all entrants; (2) the Grand Prize new natural gas forced air furnace, labor and components needed to property install the unit and (3) the ten (10) Runner-Up Prizes also described above and for performing its obligations under this Agreement. Sponsor agrees to deliver and install the prize to the Grand Prize Winner no later than December 31st, 2016. Sponsor represents and warrants that it is authorized and has the power to enter into and fully perform this Agreement.

Trademarks. For the duration of the Promotion, Sponsor grants Administrator a non-exclusive, non-transferable and limited license to use the "Maeser Master Services" trademark and logo to execute and administer the Promotion, its advertising and promotion.

Indemnification. Sponsor shall indemnify and hold harmless Administrator, its parent and affiliates and their respective officers, directors, employees, and agents from and against any and all liability, loss, damage, claim (whether valid or invalid), cost or action, and associated costs and expenses (including reasonable attorneys' fees), that may arise out of or in connection with (i) Sponsor's breach of its obligations under this Agreement, including failure to provide the Prize(s), (ii) winner's acceptance and use for the lifetime of the Prize provided by Sponsor; (iii) actions or omissions by Sponsor, its employees, agents or any party providing any element of the Prize; or (iv) for alleged or actual infringement of copyright, trademark or other intellectual property rights in connection with Administrator's use of the "Maeser Master Services" trademark and logo or with the Prize.

Limitation of Liability. In no event will Administrator be liable to Sponsor for consequential, incidental, indirect, punitive or special damages (including loss of profits, business or goodwill), regardless of whether such liability is based on breach of contract, tort or otherwise, and even if advised of the likelihood of such damages.

Personal Information. Any personally identifiable information, including but not limited to an entrant's name, street address, email address, and phone number ("Personal Information") collected by Administrator will be the owned by Administrator and will be collected, secured, maintained and used in compliance with applicable laws and regulations relating to the protection, collection, use, and distribution of personally identifiable information. Administrator shall use the Personal Information in accordance with its privacy policy. If any Personal Information is provided to Sponsor, Sponsor represents and warrants that it shall comply with all applicable laws and regulations, including but not limited to Do Not Call and CAN-SPAM laws and regulations, relating to the protection, use, and distribution of the Personal Information.

Relationship of the Parties. The parties are not, and shall not be considered as joint venturers, partners, agents or employees of each other and neither party shall have the power to bind or obligate the other party except as specifically set forth in this Agreement. There shall be no liability on the part of one party hereto for debts incurred by the other party unless such has been agreed to in writing. Each party will bear its own costs and expenses associated with the Sweepstakes. The parties acknowledge and agree that there will be no fees associated with performing under this Agreement.

Assignment. Sponsor may not assign its rights or obligations under this Agreement without the prior written consent of Administrator.

Governing Law. This Agreement shall be governed by the laws of the State of Kentucky, without reference to its conflict of laws provisions. It may not be amended, or modified except in a writing signed by both parties.

Entire Agreement. This Agreement constitutes the entire agreement of the parties with respect to the subject matter contained herein and supersedes any prior such agreements. There are no other agreements, written or oral, excepted as specifically provided herein.
